TERMS OF USE AGREEMENT

This Terms of Use Agreement (the "Agreement") is a binding legal agreement between the customer, acting as an individual or on behalf of an entity, and Parex Business Inc., operating as ChimeStream, a corporation registered in Canada ("ChimeStream"). The ChimeStream website, chimestream.com (the "Website"), and any associated media formats, channels, mobile website, or mobile applications are all governed by this Agreement. The client must stop using the website right away if they do not agree to these conditions. Nonetheless, duties such as remuneration for services provided by ChimeStream are still binding.

1. Intellectual Property Rights

ChimeStream is the owner or control of the website, all material (including source code, databases, functionality, software, designs, audio, video, text, photos, and graphics), and all trademarks, service marks, and logos (collectively, the "Marks") that are included on it. Copyright, trademark, and other intellectual property laws provide protection for them. The marks and content are offered "as-is" for personal use only; commercial usage requires the full written consent of ChimeStream.

2. Ownership of Materials

Upon completion and payment, the client owns all original source files and designs produced for them (collectively, "projects"). Ownership is irrevocably transferred to the client in the event that ChimeStream defaults for any reason. The customer guarantees ChimeStream that all materials supplied for projects are their own and do not violate the rights of any third parties. Unless otherwise noted (see Section 18), ChimeStream maintains the right to exhibit design work in public.

3. Third-Party Fonts

ChimeStream will notify the customer and provide details on the required measures for legal use in the event that any project contains third-party fonts that require commercial licenses.

4. User Representations

The client certifies that they are of legal age to agree to these Terms of Use by using the website. The client promises to follow all applicable rules and regulations and promises not to use the website for any unlawful or unauthorized purposes.

5. Prohibited Activities

Customers are not permitted to access or use this website for any purpose other than the one for which it is intended. The website may only be used in conjunction with business ventures that ChimeStream has expressly authorized or supported.

6. Client Feedback

The customer understands and accepts that any queries, remarks, ideas, proposals, feedback, or other information sent to ChimeStream (hence, "feedback") is non-confidential and will become ChimeStream's exclusive property. All intellectual property rights belong to ChimeStream, which also has the exclusive right to use and distribute this feedback for any legitimate purpose—commercial or otherwise—without giving credit or acknowledgment to the customer.

7. Management and Oversight

ChimeStream retains the right to keep an eye out for breaches of this agreement on the website, to take appropriate legal action, to block access, or to stop allowing anybody to use the website.

8. Privacy Policy

Users of the website consent to be bound by ChimeStream's privacy policy, which controls how personal data is gathered, used, and shared.

9. Returns and Refunds

ChimeStream retains the right to decide each case-by-case whether a refund is eligible. There can be more conditions governing the use of designs after a refund request.

10. Modification

ChimeStream maintains the right, with or without prior warning, to alter or terminate the website or any of its services.

11. Connection Interruptions

ChimeStream disclaims all liability for any interruptions and makes no guarantees regarding the availability of the website.

12. Governing Law

The laws of Canada shall apply to this agreement.

13. Litigation

Both parties agree that any legal procedures pertaining to this Agreement shall take place in Canada, and such jurisdiction is accepted.

14. Disclaimer

ChimeStream makes no assurances of any kind regarding the website or how to use it; the website is offered "as is."

15. Limitations of Liability and Indemnification

Any direct, indirect, incidental, or punitive damages resulting from using the website are not covered by ChimeStream's liability policy. Customers agree to hold ChimeStream harmless against any claims resulting from their usage of the website.

16. User Data

Customers are in charge of any data they send over or that is connected to how they use the website.

17. Electronic Communications, Transactions, and Signatures

Customers agree to electronic contracts, orders, and other documents, as well as to receive electronic communications from ChimeStream.

18. Showcasing Design Work

Unless otherwise agreed upon, ChimeStream retains the right to disseminate design work on digital channels, including social media and its website. ChimeStream offers clients the opportunity to sign a Non-Disclosure Agreement (NDA), which would prevent ChimeStream from disclosing or discussing the client's work in public.
